Welcome to DAYZYY (the "Platform"). These Terms of Service (these "Terms") set forth the legally binding terms and conditions between you and DAYZYY LLC ("DAYZYY," "we," "us," or "our") governing your access to and use of our mobile application, official website (www.dayzyy.com), vendor portal, buyer services, and related features (collectively, the "Services"). For purposes of these Terms, "you" and "your" mean you as an individual user of the Services — whether as a local shopper ("Buyer") or an approved local producer/merchant ("Vendor").

The Services are intended strictly for individuals aged 18 and older. If you are between 13 and 18 years of age, you may only use the Services with the explicit consent and supervision of a parent or legal guardian who agrees to be bound by these Terms.

• You agree to provide true, accurate, current, and complete information during registration and keep your account profile updated.
• You are solely responsible for maintaining the confidentiality of your account credentials. You accept full legal and financial responsibility for all activities occurring under your account.
• If you suspect unauthorized access to your account, notify us immediately at support@dayzyy.com.

Vendor accounts require mandatory business document verification (including Arizona TPT License, EIN, Cottage Food/Health Permits, and Photo ID). Vendor storefronts, subscription plans, and selling tools unlock only upon explicit administrative approval. Unapproved or pending vendors may not list products or accept marketplace orders.

• Standard service fee (non-members): orders under $25.00 carry a flat $1.75 service fee; orders $25.00 and over carry a 5.5% service fee.
• DAYZYY Pass (buyer subscription): subscribers ($4.99/month or $39.00/year) receive a 50% discount on all platform service fees ($0.88 flat for orders under $25; 2.75% for orders $25 and over).
• Monthly shipping coupons: active Pass members receive two (2) $3.00 shipping discount coupons per billing month. These coupons apply to standard orders and vendor-shared shipping promotions.
• Local pickup rewards: active Pass members earn $2.00 in DAYZYY Wallet Credits per completed local market pickup (capped at 3 grants / $6.00 total per billing month). Pickup credits may be stacked and used cumulatively toward future purchases. Each pickup credit expires exactly 30 calendar days from the date of issuance.
• Auto-renewal & cancellation: DAYZYY Pass subscriptions auto-renew until canceled. You may cancel at any time via Account Settings. Benefits remain active until the current billing period ends. Subscription fees are non-refundable once charged.

• Vendor tiers: approved vendors may select Free ($0/mo), Pro ($29/mo or $290/yr), or Premium ($49/mo or $490/yr) plans.
• Annual plan prorated refunds: annual vendor plans include two (2) free months. If an annual vendor plan is canceled mid-term, usage is prorated at the standard full monthly rate ($29/mo for Pro, $49/mo for Premium). Prorated formula: Refund = Annual Fee Paid − (Elapsed Months × Full Monthly Rate).

• Stripe Connect integration: all payment processing, subscription billing, and vendor payouts are facilitated via Stripe Connect. By accepting these Terms, you also agree to the Stripe Connected Account Agreement.
• Protected vendor payouts: platform fee discounts and DAYZYY Pass buyer promotional subsidies ($3.00 shipping coupons, pickup credits) are funded directly by DAYZYY LLC and do not reduce guaranteed vendor payouts.
• Payout schedules: vendor payouts are processed automatically according to the active subscription tier (Pro/Premium Express or Free Standard).

When accessing or using the Services, you agree NOT to engage in any of the conduct below. DAYZYY reserves the right to suspend or terminate accounts, remove listings, or restrict access for violations of these Terms without prior notice.

• Violate any local, state, or federal laws, including local health, food safety, and Arizona licensing regulations.
• Post false, misleading, defamatory, or fraudulent product descriptions or listings.
• Circumvent or manipulate platform fees, Stripe checkout flows, or coupon systems.
• Upload viruses, malicious code, or automated scrapers to interact with the Platform.
• Engage in harassment, trolling, or abusive behavior toward local buyers, vendors, or market organizers.

• DAYZYY content: all branding, platform interfaces, logos, code, and text provided by DAYZYY LLC are protected by copyright, trademark, and intellectual property laws. You are granted a limited, non-exclusive license to use the Services for local buying and selling.
• User & vendor content: you retain ownership of photos, text, and store graphics ("User Content") uploaded to your storefront. By uploading content, you grant DAYZYY LLC a worldwide, royalty-free, non-exclusive license to host, display, and use your content for operating, marketing, and promoting the DAYZYY marketplace.

• "As is" service: the Services and marketplace platform are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind.
• Local goods disclaimer: DAYZYY LLC operates solely as an online marketplace connecting local buyers with independent local sellers/farmers. DAYZYY LLC does not manufacture, inspect, or guarantee the quality, safety, or legality of items sold by independent vendors.
• Liability cap: to the maximum extent permitted by law, DAYZYY LLC's total aggregate liability arising out of or related to your use of the Services shall be limited to the greater of (a) the total fees paid by you to DAYZYY LLC in the preceding twelve (12) months, or (b) $50.00 USD.

• Governing law: these Terms and any legal claims arising hereunder shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to conflict of law principles.
• Exclusive venue: any legal dispute or court proceeding shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona.
• Informal resolution: before filing any legal action, both parties agree to attempt in good faith to resolve disputes informally by contacting support@dayzyy.com and allowing sixty (60) days for resolution.
• One-year limitation: any claim arising out of or related to these Terms or the Services must be filed within one (1) year after the cause of action accrues; otherwise, such claim is permanently barred.

DAYZYY LLC reserves the right to update these Terms at any time. Material changes will be communicated via the Platform or email update. Your continued use of the Services after updates take effect constitutes acceptance of the modified Terms.
